Terms and Conditions
In all following paragraphs, the terms "you" and "your" refers to the customer purchasing an advert on supplier.oursource.co.uk or accessing the information for business or personal use. "We" "us" "our" "ours" refers to OurSource Ltd.
General
In these terms and conditions:
a.'Customer' means any person, company, organisation or firm which purchases Services from us;
b."user" means any person, company, organization or business owner that uses this site to gather information or access the services advertised on the site.
c.'Order Form' means an order for Services on a form provided by us (in any format) and signed by a Customer;
d.'Services' means all services made available by us from time to time;
e.'Contract Month' means, in respect of any Order Form relating to the provision of Services for a specified period of months, the calendar month commencing on the start date specified in the Order Form and ending on the day before the same date in the next calendar month.
f.'Contract Term' means the full term specified in the Booking Form.
Users
OurSource Ltd endeavors to ensure that the information on this site is correct, no warranty, expressed or implied, is given as to its accuracy and OurSource Ltd does not accept any liability for error or omission.
OurSource Ltd does not endorse any of the suppliers contained in this site and expects users to take reasonable precautions before entering into any agreement with them.
Registration
To receive details of suppliers on this Site, you must submit a completed registration form to us. At our discretion, we may refuse your application for registration. If we accept your application for registration, we will confirm this by sending you an email containing your account ID.
You undertake that all information provided by you for the purposes of registering with us is accurate and complete.
This Site contains links to websites operated by third parties. We have no control over their individual content. We therefore make no warranties or representations as to the accuracy or completeness of any of the information appearing in relation to any linked websites. The links are for your convenience only. We do not recommend any products or services advertised on those websites. If you decide to access any third party website linked from this Site, you do so at your own risk.
Suppliers
Commencement of Services
We will not commence the provision of Services pursuant to any Order Form until the Order Form has been returned to us, in a form approved by us and signed by the Customer and payment is received.
Prices
Prices are guaranteed for the period stated on the Order Form.
An advert posted on www.supplier.oursource.co.uk will remain live for 3 calendar months or such shorter time as we agree with the Customer. Any extension of this time will be charged to the Customer as a new advert.
Any adverts posted in addition to the agreed number will be charged at a price agreed with the customer at the time of the contract negotiation. If no price has been negotiated, flat fee of £165 per advert will be charged for each one over the agreed number. A single advert is identified by its unique ID number. If a customer deletes a entry and then either reposts it or posts another, this will be classed as two adverts.
If any Services to be used within any time period specified on the Order Form are not used within that period of time they may not be carried over into any subsequent period without our prior written consent. The Customer will be responsible for payment for any unused Services.
Payments
All prices exclude VAT. All invoices are payable within 15 days. Late payment will entitle us to suspend provision of services. Interest will be payable on late payments at the rate of 3% above Lloyds TSB plc's base rate.
Termination
The Customer may terminate the provision of Services under any Order Form by no less than 30 days notice to expire at the end of a Contract Month.
We may terminate the provision of Services if:
i. the Customer is in material breach of these terms and conditions and has not remedied such breach within ten days of notice specifying the breach and requiring that it be remedied, or:
ii. the Customer becomes insolvent, ceases to trade or goes into liquidation.
If we are required by the Trading Standards, Police or any other similar person or body to disclose information relating to any such advertisement, you authorise the disclosure of such information and acknowledge that we are acting in good faith and you acknowledge that you have no right or cause of action in respect of that disclosure.
Adverts
You warrant that in relation to each advertisement placed for publication with us;
- That all details supplied by you for publishing are, to the best of your knowledge, fair, honest, accurate and not misleading in any material way.
- The accuracy of the information you supply is your responsibility and you agree to indemnify us against any legal claims or other expenses that arise as a result of misleading or inaccurate claims you make about the property you are advertising.
- We reserve the right to edit or delete any descriptions, which we believe to be inaccurate, misleading or fanciful.
- Business profile descriptions should only include factual descriptions and which can be verified by reasonable inspection, or in the case of any legal aspects, confirmed by available documentation.
- The reproduction and/or publication of such advertisement will not breach any contract or infringe or violate any copyright, trademark, or any other personal or proprietary right of any person or render us liable to any proceedings whatsoever;
- The advertisement complies with the requirements of all relevant legislation (including subordinate legislation, the rules of statutory regulatory authorities, and the law of the European Community) for the time being in force in the United Kingdom;
- All the advertisements submitted to us are legal, decent, honest and truthful, and comply with the British Code of Advertising Practice and all other relevant codes under the general supervision of the Advertising Standards Authority.
- You are the owner of or you are authorised to release for publication all images, text, logos etc incorporated in the advertisement submitted to us for publication.
- In the event of any dispute between us and the Copyright owner you warrant that you will hold us indemnified as to the costs of any action for breach of Copyright and any damages following thereon.
- We may remove any advertisement which contains content or links to a site which, in our opinion, is defamatory, illegal or objectionable or will bring oursource.co.uk into disrepute. You will indemnify us from and against any claims or liability arising from content or links contained in your advertisements.
- Where there is a dispute as to content of the advertisement, our decision is final.
- Though we take every precaution to ensure that all advertisements appear correctly it is your responsibility to check advertisements and notify us of any mistake or inaccuracy immediately when it appears. However we will make every effort to ensure accuracy at all times.
- Though we take every precaution to ensure that all links remain “live” it is your responsibility to check links remain unbroken and notify us should the link not be working effectively. However we will make every effort to ensure link effectiveness at all times.
- We will not be liable for any loss of original or copy artwork, photographs or other materials howsoever caused. You will provide such materials and warrant that you have retained the same in sufficient quality and quantity for whatever purpose.
- If we are required by the Trading Standards, Police or any other similar person or body to disclose information relating to any such advertisement, you authorise the disclosure of such information and acknowledge that we are acting in good faith and you acknowledge that you have no right or cause of action in respect of that disclosure.
Responses to advertisements
You agree to deal fairly and professionally with individuals who may respond to an advertisement you have posted.
You will not do anything which may bring oursource.co.uk into disrepute.
You will indemnify us from and against any claim brought by an individual against OurSource Ltd arising from your breach of this obligation or any other of these terms and conditions.
We do not guarantee any response to your advertisement. It is your responsibility to carry out such checks and procedures as are necessary.
Services Included
The Supplier Source Service will provide:
1. An advert on the Supplier Source website consisting of:
- One image consisting of company logo or brand
- a description of the service or products provided [of no more than 250 words] to be provided by the advertiser in the format approved by OurSource Ltd
- Specification of the supplier’s geographic coverage.
- Contact details for the business, or nominated agent.
- The businesses consumer website details ( if applicable)
Services not included:
Our Source Ltd will not
- Negotiate with buyers on behalf of the Service Recipient
- Draft or prepare the business profile or details to be included In the advertisement
- Provide photographs to be included in the advertisement
Exclusion of liability
Illegal Advertisements
Advertisements which are illegal or misleading may result in proceedings being taken against both the advertiser and the publisher. If we believe that an advertisement may be illegal or misleading we may remove or amend the advertisement from the site without liability to you to make any refund of amounts paid or due to be paid in respect of the posting or otherwise and will inform you accordingly.
These Terms shall be governed by and construed in accordance with English law.
